1. Acceptance & Eligibility
By accessing or using the interface, software, or digital services provided by Conduit Digital Holdings Pte. Ltd. (“Conduit,” “we,” “us”), you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”).
To be eligible to access our platform, you represent and warrant that:
- You are at least 18 years old or the legal age of majority in your jurisdiction.
- You possess full power and legal capacity to enter into a binding agreement.
- You meet the criteria for an Accredited Investor or Institutional Investor (as defined under the Singapore Securities and Futures Act 2001) where required for restricted protocol modules.
2. Prohibited Jurisdictions & Geofencing
The Services are NOT offered to, and must not be accessed or used by, any individual or entity located in, incorporated in, or a citizen/resident of:
- The United States of America (and its territories).
- Jurisdictions subject to comprehensive international sanctions (e.g., Cuba, Iran, North Korea, Syria, Crimea/Donbas regions).
- Any jurisdiction where the tokenization of assets, digital token services, or interface access violates local securities or financial laws.
Conduit enforces automated IP blocking and VPN detection. Bypassing these controls via proxy servers, VPNs, or network manipulations constitutes a material breach of these Terms.
3. Nature of Services & Non-Custodial Disclaimer
Conduit provides non-custodial web interfaces and technology infrastructure allowing users to interact with smart contract protocols.
- Non-Custodial: Conduit does not hold, manage, or take custody of your private keys or digital assets. You retain exclusive responsibility for securing your wallet credentials.
- No Financial Advice: No content on our website or interface constitutes financial, investment, legal, or tax advice. Conduit is not a broker-dealer, investment advisor, or fund manager.
4. KYC/AML Compliance & Onboarding
Access to certain tokenized assets or protocol modules requires passing identity verification checks. You agree to provide accurate identification data and consent to background screenings against global sanctions databases (OFAC, UN, EU, MAS). Conduit reserves the right to freeze, block, or decline access to any wallet address or account flagged for suspicious activity.
5. Prohibited Conduct
You agree NOT to:
- Violate any applicable local, Singaporean, or international law or regulation.
- Deploy automated bots, web scrapers, or malicious code against platform endpoints or smart contracts.
- Engage in wash trading, market manipulation, or illegal market conduct.
- Use the Services to facilitate money laundering, terror financing, or sanctions evasion.
6. Risk Disclosures
You expressly acknowledge and assume the following inherent risks:
- Smart Contract Risks: Code vulnerabilities, bugs, or zero-day exploits may result in partial or full loss of funds.
- Regulatory Uncertainty: Regulatory changes in Singapore (MAS) or internationally may restrict or eliminate platform services without notice.
- Blockchain Network Risks: High network fees, chain reorganizations, or consensus failure on public blockchains can delay or disrupt transactions.
7. Intellectual Property
All rights, titles, and interests in the website, trademarks, logos, front-end visual designs, and software architecture belong exclusively to Conduit Digital Holdings Pte. Ltd. Users receive a limited, revocable, non-exclusive license to use the interface in accordance with these Terms.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER SINGAPORE LAW, CONDUIT DIGITAL HOLDINGS PTE. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DIGITAL ASSETS, OR DATA CORRUPTION.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED SGD 100 OR THE TOTAL FEES PAID BY YOU TO CONDUIT IN THE PRECEDING THREE (3) MONTHS.
9. Governing Law & SIAC Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.
- Arbitration: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules.
- The seat of arbitration shall be Singapore.
- The tribunal shall consist of one (1) arbitrator.
- The language of arbitration shall be English.
